About the Role:

We are seeking a dynamic and experienced Senior Legal Specialist (open to Associate Manager) to join our legal team. In this role, you will play a pivotal role in supporting VNG Group's growth through M&A activities and managing our global corporate structure.

Key Responsibilities:
  • M&A Deal Execution:
    • Conduct thorough legal due diligence on target companies.
    • Draft, review, and negotiate a wide range of transactional documents, including share purchase agreements, asset purchase agreements, and joint venture agreements.
    • Provide legal advice on complex M&A issues, including regulatory compliance and antitrust matters.
    • Coordinate with internal and external stakeholders to ensure seamless deal execution.
  • Joint Venture Management:
    • Provide ongoing legal support to our existing joint ventures.
    • Advise on joint venture governance matters and compliance with joint venture agreements.
    • Manage legal aspects of joint venture operations, including dispute resolution.
  • Corporate Formation and Governance:
    • Establish and maintain corporate entities in multiple jurisdictions.
    • Advise on corporate governance matters and ensure compliance with local laws and regulations.
    • Manage corporate secretarial functions, including board meetings, shareholder meetings, and recordkeeping.
